D&O or Director's and Officer's Liability is a specific form of Professional Liability coverage designed to protect the Board and Individual Officers of both for-profit and non-profit enterprises. The purpose of the coverage is to protect against claims of mismanagement of the resources that are under the control of the management as well as the impact on shareholders and stakeholders in the business or community. D&O coverage is often combined with EPLI (or Employment Practices Liability) and care must be taken to make sure that corporate or organization bylaws are customized to trigger indemnification of officers.
